(a)
to the purchase of a security offered by a prospectus during the period of distribution,
(b)
except as prescribed by regulation, to the acquisition of an issuer’s security pursuant to a distribution
(i)
that is exempt from section 71 as provided for under the regulations or in an order made by the Commission under section 80, or
(ii)
that is exempt from section 78 as provided for under the regulations or in an order made by the Commission,
(c)
to the acquisition or disposition of an issuer’s security in connection with or pursuant to a take-over bid or issuer bid, as defined in section 106, except as prescribed by regulation, or
(d)
to such other transactions or class of transactions as are prescribed by regulation.
