Under section 126 of the Companies Act, the Lieutenant-Governor in Council makes the following Regulation:
1This Regulation may be cited as the Annual Filing Fees Regulation - Companies Act.
2In this Regulation
“anniversary month” means the month of each year that is the same as the month in which the company was incorporated under the laws of New Brunswick.(mois anniversaire)
3Subject to sections 6, 8 and 8.1, the annual filing fee for a Provincially incorporated company is, where the capital stock of a Provincially incorporated company
(a)is $10,000 or less,..............

3.1Notwithstanding section 3 and subject to section 6, where the anniversary month of a provincially incorporated company occurs after December, 1991, the annual filing fee is fifty dollars.

6Provincially incorporated hospital companies, cemetery companies and Canadian Legion companies are exempted from the payment of annual filing fees.
6.1Where, immediately before the commencement of this section, a provincially incorporated company is required to pay one or more outstanding additional fees for paying one or more filing fees after the period of time prescribed for paying the filing fees, those additional fees are waived.

8All fishing, sporting or literary clubs or associations under section 16 of the Act and all companies incorporated for charitable, philanthropic, temperance, religious, social, political, literary, educational, athletic or other like purposes under section 18 of the Act are exempted from the payment of annual filing fees.

8.1Where, on or after the commencement of this section, the Director accepts a surrender of the charter by a company incorporated by letters patent or by special Act of the Legislature and issues a certificate of dissolution under section 35.2 of the Act, all outstanding annual filing fees owed under sections 3 and 3.1 of the Regulation are waived.

9Regulation 33, Statutory Orders and Regulations, 1963, under the Companies Act is repealed.
